Terms and Conditions

These Terms of Use (“Terms”) govern your access to and use of Solargenix.ai | Fastest AI Solar Sales Proposal Tool (the “Service”), operated by SolarGenix, Inc. (“SolarGenix,” “we,” “us,” or “our”). By registering for an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not access or use the Service.

  1. Definitions
    • “Account” means your user account with Solargenix.ai.
    • “Proposals” means the number of solar-proposal generations you have purchased.
    • “Stripe” means Stripe, Inc., our third-party payment processor.
    • “User Content” means any data, text, images, or other materials you submit to the Service.
  2. Eligibility

    You must be at least 18 years old and able to enter into a binding contract under U.S. law to use the Service. By registering, you represent and warrant that you meet these requirements.

  3. Account Registration & Security
    • Registration. You agree to provide accurate, current, and complete information during registration and to keep it updated.
    • Credentials. You are responsible for safeguarding your password and for all activity that occurs under your Account.
    • Closure. You may close your Account at any time via your account settings, all unused Proposals will be forfeited upon closure.
  4. Proposals & Payment
    • Purchase.
      • You choose and pay for a lump-sum pack of Proposals.
      • Stripe handles all payment processing; SolarGenix does not store your payment card details.
    • Validity.
      • Proposals are valid for one calendar month from the date of purchase (“Validity Period”).
      • Any unused proposals expire at the end of the Validity Period and cannot be carried over or refunded.
    • Re-Purchase.
      • You may purchase additional proposals at any time, there’s no limit on the number or frequency of purchases.
    • No Auto-Renewal.
      • We do not offer subscriptions or automatic renewals. Each purchase is a standalone transaction.
    • Refunds & Cancellations.
      • All sales are final. No cancellations or refunds for unused proposals, except as required by applicable law.
  5. Acceptable Use
    • Permitted Use. You may use the Service solely for your lawful commercial business purposes.
    • Prohibited Conduct. You must not:
      • Reverse-engineer, decompile, or disassemble any part of the Service;
      • Use the Service to infringe third-party rights;
      • Interfere with or disrupt the Service, servers, or networks.
  6. Intellectual Property

    All rights, title, and interest in and to the Service (including software, designs, text, graphics, and trademarks) are owned by SolarGenix or its licensors. Your use is limited to the rights expressly granted under these Terms.

  7. User Content
    • Ownership. You retain ownership of any User Content you submit.
    • License to Us. By submitting User Content, you grant SolarGenix a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display it solely to provide and improve the Service.
  8. Suspension & Termination
    • By SolarGenix. We may suspend or terminate your Account or access if you:
      • Violate these Terms or any policies;
      • Engage in conduct that exposes us to legal or security risk;
      • Fail to pay for purchased proposals.
    • Effect. Upon suspension or termination, your access ends immediately and all unused Proposals are forfeited.
  9. Discontinuation of Service

    SolarGenix may modify, suspend, or discontinue any portion of the Service at any time. If we discontinue the entire Service, we will provide reasonable notice and refund any prepaid, unused Proposals.

  10. Disclaimer of Warranties

    THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. SOLARGENIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.

  11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLARGENIX’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM. IN NO EVENT WILL SOLARGENIX BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

  12. Indemnification

    You agree to indemnify and hold SolarGenix and its officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses (including attorney’s fees) arising out of or related to your violation of these Terms or use of the Service.

  13. Changes to These Terms

    We may amend these Terms at our discretion. When we do, we will post the revised Terms here with an updated “Last updated” date. Continued use after changes constitutes acceptance of the new Terms.

  14. Governing Law & Dispute Resolution

    These Terms are governed by and construed in accordance with the laws of the State of California and the United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
